Mobadge is a global mobile advertisement company which serves mobile internet advertising on a network of publisher sites. This agreement covers participation in the Mobadge Mobile Advertising Network for the purchase and management of ad campaigns as an Advertiser and/or in exchange for commissions on advertising revenues as a Publisher.

This Agreement will commence on the acceptance of your application and will continue unless terminated in writing. Mobadge reserves the right to terminate any Advertiser and/or Publisher from the Network at any time, with or without cause.

Responsibilities

Advertiser: Mobadge will give Advertisers access to a website to create and manage mobile advertisement campaigns. Advertisers also can follow up their spendings by online reports on the website. Advertiser is responsible for adding ad contents (text and/or image) for each ad campaigns by using website. Advertiser should make the payments in time in order for Mobadge to run advertising campaigns continuously.

Publisher: Mobadge will give Publishers access to a website to create and manage mobile adversitement spaces. Publishers also can follow up their earnings via online reports on the website. Publisher is responsible for placing the ad codes which is provided by Mobadge on publisher site(s). Mobadge has right to withhold payment if Publisher commits fraudulent activity.

Mobadge: Mobadge establishes the bridge between advertiser and publisher allowing the advertisements to be published at the right place and at the right time. Mobadge should ensure that mobile advertising network works properly. Mobadge is responsible for providing a set of standardized codes for publishing Advertisers' ads on the Publishers' site(s).

Payments

Advertiser: Advance payment is required for Advertisers. Advertisers can make payment via Wire Transfer or PayPal in US Dollars currency. After receiving the payment, Mobadge can produce the Advertisers' invoice, if requested by the Advertiser.

Publisher: Mobadge will provide a Net Revenue Share report within 30 days from the end of previous calendar month. Net Revenue Share report will be prepared according to rate of sharing: Publisher has 80% of total revenue, Mobadge has 20% of total revenue. Within 60 days after the end of each calendar month, Mobadge will make payment via Wire Transfer or PayPal if payment amount reaches 200.-USD at least. No payment will be made until payment amount is a minimum of 200.-USD. For Wire Transfer payments, Mobadge will deduct 20.-USD for intermediary bank charges. For PayPal payments, there will be no deduction. Unexpected tax / fee will be reflected in any deductions from Publishers..

Indemnification

Advertiser indemnifies Mobadge and its Publishers partners from damages that arise as a result of their advertisement. Advertiser assumes all liability for content of advertising will indemnify Mobadge and our Publishers from all claims.
Publishers are responsible for any legal liability arising out of or relating to any consumer and/or governmental/regulatory complaint arising out of any campaign conducted by Publishers, including but not limited to any spam or fraud complaint and/or any complaint relating to failure to have proper permission to conduct such campaign to the consumer.

Force Majeure

Neither Mobadge nor Advertiser and/or Publisher are responsible for delays or defaults caused by Acts of God, Government restrictions, accident, war, embargo, insurrections, or any other circumstance beyond their control.
This Publisher Agreement shall be governed by and construed in accordance with the Laws of Dubai.

Changes to This Terms and Conditions

Mobadge reserves the right to change these terms and conditions at any time. If we make changes to the Terms and Conditions, we will notify you by posting an announcement on our website.
